Terms of Service

Effective October 11, 2026

These Terms of Service (the "Terms") cover your use of Plya, the app and website at plya.app (the "Service"). Plya is operated by Perennial Design Studio LLC ("Plya," "we," "us" or "our").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

1. Who can use Plya

You must be at least 16 years old and able to enter a binding contract where you live. If you use the Service for a business or organization, you confirm that you can accept these Terms on its behalf, and "you" includes it.

2. Your account

You sign in with a code we email you, or with a provider we offer such as Google. You're responsible for keeping access to that email account secure and for everything that happens under your account. You agree to:

  • Give accurate information when you sign up and keep it current;
  • Keep your account to yourself;
  • Tell us right away at hello@plya.app if you think someone else has gotten into your account.

Each account has a studio, which holds everything you put in Plya. The person who creates a studio is its owner and manages its plan.

3. The Basic plan

A new studio starts on the Basic plan, which costs nothing and needs no card. It includes every part of Plya, with 3 projects, 10 notes, 50 contacts and 20 Ash credits a month, and unlimited invoices. On Basic, Plya charges a fee on invoice payments made online (see Getting paid through Plya below).

When a studio reaches one of those limits, adding more of that thing waits for Studio. If a studio has more projects, notes or contacts than Basic includes, for example after a Studio plan ends, you can still open, search and export all of it. Adding to and editing that area waits until you archive or delete down to the limit, or upgrade. Everything already in the studio stays. We don't delete a studio because it's on Basic.

4. Plans, payment and renewal

Studio costs $39 a month or $99 every 3 months, before any sales tax that applies where you live. Payments are processed by Stripe; we never see or store your full card number.

When you subscribe, you authorize us and Stripe to charge your payment method for the plan you choose, plus applicable taxes. Your plan renews automatically at the end of each billing period, at the price then in effect, until you cancel.

If we change a price, we'll email the studio's owner at least 30 days before it applies. The new price starts at your next renewal after that notice, and you can cancel before then.

When you switch between monthly and quarterly billing, Stripe credits the unused part of your current period toward the new one.

If a renewal payment fails, we'll retry it and email you. If it still can't be collected, the studio moves to the Basic plan until the payment method is updated.

5. Canceling and refunds

You can cancel any time from Settings → Billing → Manage billing. Your plan stays active until the end of the period you've paid for. After that, the studio moves to the Basic plan, and everything in it stays.

Your first payment is fully refundable within 30 days. After that, payments aren't refunded for unused time. The details are in our Refund policy.

6. Ash and AI-generated content

The Service includes Ash, an AI helper that can answer questions, draft text and make changes in your studio when you ask it to.

Ash runs on credits. Basic includes 20 credits a month, and Studio includes 500 credits a month. Credits reset each billing month, don't carry over and have no cash value. When they run out, Ash pauses until they reset. The current allowance and what each use costs are shown in Settings → Billing. We may change them, and we'll show any change there before it applies.

AI output can be incomplete or wrong. Review it before you rely on it, send it or publish it, especially for money, legal or tax matters. We don't promise that Ash's output is accurate, original or free of other people's rights, and to the extent the law allows, we aren't responsible for losses from relying on it.

7. Getting paid through Plya

You can send invoices to your clients from Plya. To accept card payments on them, you connect a Stripe account and agree to the Stripe Connected Account Agreement. Stripe holds and pays out those funds; Plya never does.

Stripe's processing fees apply to each payment. On the Basic plan, Plya also charges a fee of 2% of each invoice payment made online through Plya, by card or bank transfer. Stripe deducts it from the payment when your client pays, and it appears in your Stripe account. It comes out of your payout and is never added to what your client pays. The plan your studio is on when the payment is made sets the fee: an invoice sent on Studio and paid after the studio is back on Basic carries the fee, and the other way round. If you refund a payment, Plya keeps its fee. An invoice you mark as paid by hand carries no Plya fee, since no money passes through Plya. On Studio, Plya adds no fee of its own. If we change the fee, we'll show the new amount in Settings → Billing at least 30 days before it applies.

Your agreements with your clients are between you and them. You're responsible for what you invoice, for any taxes on your own sales, and for having the right to store your clients' and contacts' information in Plya.

8. Acceptable use

You agree not to:

  • Break any law or regulation using the Service;
  • Upload or send content that's unlawful, infringes someone else's rights, or is defamatory, harassing, hateful or sexually exploitative of minors;
  • Try to get into other people's accounts or our systems, or interfere with how the Service runs;
  • Reverse-engineer or copy the Service's software, except where the law allows it;
  • Use bots or scrapers in a way that puts an unreasonable load on the Service;
  • Resell or redistribute the Service without our written permission;
  • Use the Service to send spam, phishing or malware.

9. Your content

Everything you create, upload or import stays yours ("Your Content"): projects, tasks, notes, contacts, leads, invoices, files, canvases, and what you save from Ash.

You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, process and display Your Content only as needed to run the Service for you. The license ends when you delete Your Content or your account, except for copies we must keep by law and backups that roll off on their normal schedule.

We don't use Your Content to train AI models, and neither do the AI providers we use.

You're responsible for Your Content and for having the rights to upload it.

10. Exporting and deleting

You can export your data from Settings → Data at any time, on any plan.

To delete your account, ask from Settings → Account. We'll confirm by email, then delete your account and your studio from our active systems within 30 days.

A studio on Basic stays as it is. If we ever need to remove studios that haven't been used for a long time, we'll email the owner at least 30 days first so there's time to export.

11. Our property

The Service, including its software, design, brand and documentation, belongs to us or our licensors. As long as you follow these Terms, we give you a limited, non-exclusive, non-transferable license to use it for your own work and business.

If you send us feedback or ideas, we may use them without any obligation to you.

12. Suspension and termination

You can stop using the Service at any time. We may suspend or close an account if we reasonably believe it has broken these Terms, puts the Service or other people at risk, or if the law requires it. Where we can, we'll tell you first and give you a chance to export your data.

Sections that by their nature should last after an account closes, including Your Content, Ash and AI-generated content, Disclaimers, Limitation of liability, Indemnity and Governing law, keep applying.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WITHOUT ANY PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

14. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, PERENNIAL DESIGN STUDIO LLC AND ITS OFFICERS, EMPLOYEES AND SERVICE PROVIDERS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF US$100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT THAT LED TO THE CLAIM.

Some places don't allow these limits, so some of them may not apply to you. There, our liability is limited as far as the law allows.

15. Indemnity

You agree to defend and cover Perennial Design Studio LLC and its officers, employees and service providers against claims, damages and costs (including reasonable legal fees) that come from Your Content, from your use of the Service in breach of these Terms or the law, or from your violation of someone else's rights.

16. Changes to these Terms

We may update these Terms. For a material change, we'll update the effective date above and tell you in the app or by email before it applies. If you keep using the Service after that, you accept the new Terms. If you don't agree, you can cancel and export your data.

17. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute about these Terms or the Service goes to the state and federal courts in Kings County, New York, and you agree to their jurisdiction. Either side may still ask any competent court for urgent relief to protect its intellectual property.

18. General

These Terms, the Privacy Policy and the Refund policy are the whole agreement between you and us about the Service. If a court finds part of these Terms unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You may not transfer these Terms without our written consent; we may transfer them as part of a merger, acquisition or sale of assets, or to a company that takes over the Service.
